Terms
The terms we are asking you to agree to
Including what happens when you leave, which is the part of this category's terms that is usually missing.
Version 1.0, in force from 09-Oct-26.
Who you are contracting with
Fundsure Limited, a company registered in England and Wales, whose registered office is 3rd Floor, 45 Albemarle Street, Mayfair, London W1S 4JL. Fundsure is supervised by HM Revenue and Customs as a trust or company service provider and is registered with Companies House as an Authorised Corporate Service Provider under number AP003554.
Fundsure is not authorised or regulated by the Financial Conduct Authority and does not carry on regulated activities within the meaning of the Financial Services and Markets Act 2000.
Until the company is incorporated, our agreement is with you, the person placing the order. Once it is incorporated, the company becomes our client for the services that continue, and you confirm that you are authorised to act for it. You remain responsible for anything owed for the period before incorporation.
What the service is
These terms cover three services, which can be bought separately or together: the incorporation of a company; a registered office and director's service address; and the annual service, which combines them with the company secretarial work described below. Identity verification of directors and persons with significant control is included in the annual service as set out below, and is charged at the published rate where an incorporation bought on its own needs it.
In its first year the annual service includes: incorporation at Companies House, including the Companies House fee; identity verification of one director or person with significant control under our ACSP registration, with each additional person charged at the published rate; a registered office, and a director's service address for every officer; the scanning and emailing of mail; the opening and maintenance of statutory registers; share certificates and the first board minutes; board minutes and resolutions as transactions occur; the preparation and filing of the confirmation statement; and the monitoring of filing deadlines. In each following year it includes everything except the incorporation and the identity verification, and it covers the Companies House fee for the confirmation statement.
If you already have a registered office that meets the statutory test, you can take the annual service without ours. The fee is lower, and clauses 5 and 6 do not apply.
An incorporation bought on its own is a one-off service, with no renewal and none of the monitoring, deadline-watching or named contact that belong to the annual service. A registered office bought on its own renews each year and includes the address, the service address and the handling of mail, and nothing else.
The annual service includes the preparation and filing of annual accounts only where the company is dormant. It does not include legal advice, tax advice, share valuations, or the drafting of shareholders' agreements. Where you need those, we will say so rather than provide a lesser version of them.
Fees, and the one charge that is not in them
The published fee is the total payable for the period it covers, and includes the Companies House fee and any tax properly chargeable. Additional directors and persons with significant control are charged at the published rate for each.
The single charge outside the fee is forwarding something physical that cannot be scanned, such as a parcel. Before anything is sent, we tell you the postage and our handling charge, and nothing is forwarded or charged unless you agree.
How payment is taken
When you order the annual service online, we place a hold on your card for the full first-year fee. We do not take the money until the identity checks are complete and the company is ready to be filed at Companies House.
A card hold lasts seven days. If the checks take longer than that, we will ask you to authorise the payment again, and nothing is taken in the meantime. If the company cannot be formed, or the checks are not passed, the hold is released and you are not charged.
The registered office, and who provides it
The registered office address, the director's service address and the handling of mail are provided from the premises of our address provider, W1 Virtual Office, at 45 Albemarle Street, and are subject to W1 Virtual Office approving you as a client. This applies whether the address is bought on its own or as part of the annual service. The address cannot be used until that approval is given.
W1 Virtual Office's service terms and operating limits apply to the address, the service address and the mail handling, and form part of this agreement. We send them to you before your address goes live, and we will not agree to anything with you that they do not permit us to deliver.
Separately from that approval, we are required to carry out customer due diligence on you and on anyone who controls the company before the address is used, and to keep it under review for as long as you hold the address.
Approval is expected within two business days of a complete application. That period pauses whenever further information or enhanced due diligence is requested, and resumes when everything requested has been received. The period passing does not amount to approval.
If the address cannot be provided
If W1 Virtual Office declines to approve you, we will tell you promptly and we will not charge you for the address. Where payment is held but not yet taken, we take only the part of the fee covering what we can actually deliver, and we tell you what that is before taking it. Where payment has already been taken, we refund the part covering the address.
Renewal
The annual service and the registered office each run for a year at a time, from the date of incorporation or from the date the service started. At least 30 days before the end of each year, we write to you with the renewal fee and a secure link to pay it. Nothing is taken automatically.
If you renew, the service continues for another year. If you do not, it ends on the renewal date and clause 9 applies, including the 30 days for which we continue to provide the registered office.
Cancelling within 14 days
If you are buying as a consumer rather than for a business, you may cancel within 14 days of placing your order by telling us at support@fundsure.co.uk. Most people forming a company are acting for a business, and this clause does not give a business customer a right it would not otherwise have.
The checkout asks you to confirm that we can start work straight away. If you then cancel within the 14 days, you pay for the work done up to the point you told us, and we release or refund the rest. Once the company has been filed at Companies House, or an officer's identity has been verified, that part of the service has been fully performed and can no longer be cancelled.
Leaving
You may end this agreement at any time, by writing to us. What follows is what we commit to, with the period for each. These are not conditional on your account being clear, on your giving a reason, or on your leaving happy.
Each commitment applies to the extent we hold the thing in question. A client who has taken the registered office on its own has no statutory registers with us and may have no authentication code held by us, so those rows simply do not arise; the change of registered office and the written confirmation do.
| What | By when | Note |
|---|---|---|
| Release of the authentication code | Within 2 business days of your written request | The Companies House authentication code is yours. We do not hold it back, condition its release on anything, or require a reason for wanting it. |
| De-enrolment from PROOF | Within 2 business days of your written request | PROOF protects a company from paper filings. Where we have enrolled the company, we will de-enrol it on request so that you are not locked out of filing by an arrangement we made. |
| Filing the change of registered office | Within 2 business days of your instruction and the new address | Filed as soon as you give us an address to file. We do not wait for the service period to run out first. |
| Written confirmation of cancellation | Within 5 business days | Confirming what has ended, on what date, what we still hold and what we have returned or deleted. |
| Return of your records | Within 10 business days | Statutory registers, minutes, resolutions and certificates, in a usable form, whether or not anything is outstanding on your account. |
| Online access to your documents | For 90 days after the service ends | Everything in your online account stays available to download. After that, we keep only what the law requires us to keep. |
When the service ends, we continue to provide the registered office for 30 days so that you have time to move it, and we write to you before we stop. If no new address has been filed by then, we may apply to Companies House to have our address removed from the company's record, because a company without a valid registered office is exposed to being struck off.
Fees already paid for the year in which you leave are not refunded pro rata, except as set out in clauses 6 and 8.
When we can end the service
We may end the service by writing to you if a fee is not paid within 14 days of falling due, if information you have given us is false or misleading, if you use the registered office in breach of clause 11, or if we cannot complete or maintain customer due diligence.
The 30 days in clause 9 still apply to the registered office, unless the law or W1 Virtual Office requires us to stop sooner. Where we end the service because of due diligence, there are circumstances in which we are prohibited by law from telling you why.
Your obligations
You must give us accurate information and tell us promptly when it changes, including any change of officer, shareholding, control or contact address. You must not use the registered office for any purpose we have not agreed, must not hold the address out as your trading premises, and must comply with the operating limits referred to in clause 5.
Limits of liability
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. If you are a consumer, nothing in it affects your statutory rights.
Subject to that, our liability in respect of the registered office, the service address and the handling of mail is limited to the part of the fees you have paid us for the registered office in the twelve months before the event giving rise to the claim.
Our total liability in respect of everything else under this agreement is limited to the fees you have paid us in the twelve months before the event giving rise to the claim. We are not liable for loss of profit, loss of business, loss of opportunity or any indirect or consequential loss.
We are not liable for the acts or decisions of Companies House, HM Revenue and Customs, any bank or any other third party, nor for a filing rejected because of information you gave us that was inaccurate.
Banking introductions, and what we may be paid
Where we introduce you to a provider of business banking, that is an introduction and nothing more. It is not an account, it is not guaranteed, and whether an account is opened is entirely the provider's decision. Not every applicant is eligible: eligibility turns on where you are resident and on what the business does, and we will tell you at the outset where we expect an introduction to be impossible or unsuccessful.
We may be paid a referral fee by the provider where an introduction results in an account being opened. Where we are, we tell you before making the introduction. It does not increase what you pay us.
Data protection
We are a data controller in respect of the personal data we hold about you and the company's officers, registered with the Information Commissioner's Office under number ZB012773. We hold identity and address documents because we are required to, and we retain them for the periods the Money Laundering Regulations require.
Identity checks are carried out using a specialist verification provider. Where you take the registered office, we share your identity details and the results of our checks with W1 Virtual Office, which provides the address and must approve you as a client before it is used. Our privacy policy lists everyone we share personal data with and why, and it applies to this agreement.
Complaints
Write to support@fundsure.co.uk or to the registered office. We acknowledge within five business days and give a substantive response within eight weeks, or write before then to say why longer is needed and by when. Our complaints procedure is published in full on our regulatory information page.
Changes to these terms
If we change these terms, we will tell you at least 30 days before your next renewal, and the change applies from that renewal. If you do not accept it, you can leave under clause 9 instead. A change required by law, or by Companies House or HM Revenue and Customs, may apply sooner, and we will tell you as soon as we can.
Law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland you may also bring proceedings in your local courts.
Fundsure Limited is supervised by HM Revenue and Customs as a trust or company service provider and is registered with Companies House as an Authorised Corporate Service Provider, also known as a Companies House authorised agent, under registration AP003554.
