Company formation

A company formed correctly, and left correct

Incorporation is an hour's work. Deciding the share structure, verifying the officers under our own ACSP registration and keeping the record accurate for the years afterwards is the part that decides whether you ever have to unpick it.

£220on its own, or £595 for the first year with everything included

First

Does the name survive the registrar's test?

We reduce your proposed name the way the registrar does, stripping punctuation, permitted endings and the words the rules disregard, and compare what is left against the index. It is the same reduction that turns three apparently different names into one.

Checked against the Companies House index of registered names.

How it goes

Five things, in order

  1. The name, checked properly

We apply the registrar's same-as rules, not a substring search, and we look at sensitive words, at names implying a connection with government, and at anything close enough to an existing registration to invite a challenge under the too-like rule. A name that will not survive is better found now than after the certificate is issued.

  2. Structure decided before it is filed

Share capital, share classes and the rights attaching to them, the officers and their roles, and who is a person with significant control and on what basis. Getting a second share class or a corporate shareholder right at incorporation costs nothing; adding one afterwards means resolutions, filings and, often, a conversation with your accountant about what you have just done.

  3. Identity verified under our own ACSP registration

Every director and person with significant control is verified by us as an Authorised Corporate Service Provider, registration AP003554, before the company is filed rather than chased afterwards. If you cannot use GOV.UK One Login, which is the position for most people outside the UK, this is the route that exists for you.

  4. Filed at Companies House

The incorporation filed and the certificate of incorporation sent to you, with the Companies House fee paid. A formation on its own ends here.

  5. With the annual service: the record made correct, and kept correct

Statutory registers opened and branded, share certificates issued, first board minutes produced and the registered office set to Albemarle Street. Then the filing deadlines monitored, the confirmation statement prepared and filed, and every change of officer, address or shareholding written up as it happens rather than reconstructed in a panic twelve months later.

Formation on its own

What you are paying a firm rather than a form

You can incorporate a company for the price of the Companies House fee and very little else, and for a single-director company with one class of share and nothing unusual about it, that is a perfectly reasonable thing to do.

What you get here instead is the part before the filing. Whether the share structure you have described is the one you want in two years, whether the person you have called a director is also a person with significant control, whether the name will survive the registrar's same-as test and the sensitive-word rules, and whether what you are about to put on a public register is what you meant to put there.

Every firm doing this work holds the same registrations we do, because the law requires them. What differs is volume. We form a small number of companies and a person reads each one, which is worth paying for when the structure is not obvious and is not worth paying for when it is. We would rather you knew which of those you are before you buy.

Or as the first act of the relationship

What the annual relationship covers

Formation is the first act of it. Everything below is part of the same fee. What is marked first year happens once; the rest continues every year.

Your company

  • Incorporation at Companies House, including the Companies House fee(first year)
  • Identity verification for one director or person with significant control, under our own ACSP registration. Each additional person is £49.(first year)

Your address and post

  • Registered office at 45 Albemarle Street, Mayfair
  • A director's service address for every officer, so home addresses stay off the public register
  • Every item of mail scanned and emailed on the business day it arrives, not only statutory post

Your records and filings

  • Statutory registers opened, branded and kept current
  • Share certificates and the first board minutes(first year)
  • Board minutes, resolutions and certificates as transactions occur
  • Confirmation statement prepared and filed
  • Annual accounts prepared and filed, if the company is dormant
  • Filing deadlines monitored

Someone to call

  • A named contact with a direct line
  • Published exit terms, with stated periods

Before you decide

Complex structures are worth a conversation

Multiple share classes, corporate shareholders, a trust in the ownership chain or a group formed in stages are all things we would rather discuss than have you guess at in a form. Everything else you can complete online, at whatever hour suits the time zone you are in.
